Fractional general counsel vs coaching: hire, learn, or both

What a founder at $1M to $5M can learn about contracts and legal risk, when to hire a fractional general counsel, and when to combine the two. Costs, signs and a test.

A founder cannot be coached into being their own lawyer, and should not try to act as one on anything that matters. But a founder can learn enough to read contracts intelligently, spot the clauses that carry risk and know when to call a lawyer. That knowledge makes every legal dollar go further. The question at $1M to $5M is how much legal skill to build in-house and when to hire a fractional general counsel.

The running example

A founder runs a $3M IT services firm with 20 employees and 60 clients. Most clients signed a one-page proposal. Two new enterprise prospects have sent their own 35-page master services agreements with unlimited liability, broad indemnities and data protection terms. Several contractors have worked for the company for years with no written agreement. The founder reviews contracts at night and has started to worry about what is in the old ones.

When to learn

Learn when your contracts are mostly simple and repeat, and you want to handle routine ones yourself. Founder-focused legal education, from law firm guides, startup programs and courses on contracts for business owners, covers the basics: limitation of liability, indemnities, payment terms, IP ownership, termination, auto-renewal and data protection clauses. Dedicated legal coaching programs are rare on this site; legal knowledge for founders usually comes from guides, courses and the lawyers themselves. Many fractional GCs will explain their reasoning as they work if you ask.

For our founder, some learning helps. Knowing which clauses to watch makes it easier to sort which contracts need a lawyer. But it does not solve the two enterprise agreements, which carry risk a non-lawyer should not accept.

When to hire a fractional GC

Hire when legal work is steady and the stakes have risen. The signs: customers send their own paper; contracts carry liability that could exceed a year’s revenue from the client; contractors or employees lack IP assignments; you hire across states or countries; or a financing or sale is on the horizon. A fractional GC at this size typically works 10 to 20 hours a month for $3,000 to $7,000.

For our founder, the enterprise agreements are the trigger. A fractional GC would negotiate them, then build a standard master services agreement and a negotiation playbook so future deals start from the company’s own paper. The contractor agreements and IP assignments come next, since gaps there surface in diligence and can be hard to fix later.

When to do both

The most useful combination is a fractional GC who builds the founder’s and team’s judgment as part of the work. A short contract playbook, explaining which clauses the company can accept, which need approval and which are never acceptable, lets the founder or a salesperson handle routine deals and send only the hard ones to counsel. That reduces the hours the company pays for. Ask for a playbook and a training session in the first quarter.

A simple test

Look at the largest contract you will sign this year and ask what the worst outcome would cost. If it is small and the terms are standard, learn the basics and use a law firm when needed. If it could cost a year’s profit, hire a fractional GC. If you sign many similar contracts, hire one and ask for a playbook so the team can handle the routine ones.
